Terms of Service
Last updated: 3 October 2026
1. About these terms
These terms apply to all quotes, services and invoices from ucess (ABN 31 590 870 724), based in Sydney, NSW. "We" and "us" means ucess. "You" means the client receiving our services.
By accepting a quote, asking us to start work, or paying an invoice, you agree to these terms. If a signed agreement or quote says something different, that document applies for that project.
2. Quotes and scope
Quotes are valid for 30 days. The work we deliver is the work described in the quote or our written email.
Requests outside that scope are extra work. We will tell you before starting it, and it is charged at our hourly rate unless we agree a fixed price.
3. Your responsibilities
- Provide the content, logins and access we need, and give feedback on time. Delays on your side may move the timeline.
- Make sure you have the right to use any text, images, logos or data you give us.
- Check our work when it is delivered and tell us about any problems.
4. Fees and payment
- All prices are in Australian dollars (AUD).
- ucess is not registered for GST, so no GST is charged.
- Payment is due by the due date on the invoice. Please use the invoice number as the payment reference.
- For larger projects we may ask for a deposit before starting.
- If an invoice is overdue, we may pause work until it is paid.
5. Third-party services
Your project may rely on services we do not control, such as hosting, domains, email, Odoo, WordPress, themes and plugins. These are covered by their own providers' terms, and their fees are paid by you unless we agree otherwise.
We are not responsible for outages, price changes or changes made by these providers. Fixing problems they cause is billed as extra work.
6. 14-day warranty
If something we built or changed does not work as agreed, tell us within 14 days of delivery and we will fix it free of charge.
The warranty does not cover new requests, content changes, changes made by you or others, or problems caused by third-party updates, plugins or hosting.
7. Backups and data
We take a backup before making major changes to your website or system. Ongoing backups are your responsibility unless they are part of a maintenance plan with us.
You own your data. We use it only to deliver the services you asked for.
8. Ownership of work
- Once the invoice is paid in full, you own the designs, content and custom work we made specifically for you.
- We keep ownership of our own tools, templates and reusable code, and you may use them as part of your project.
- Third-party themes, plugins and software stay under their own licences.
- We may show your project in our portfolio. Let us know if you would prefer we did not.
9. Confidentiality and privacy
We keep your business information, logins and customer data confidential and do not share them, except where needed to deliver the service or required by law. We handle personal information in line with the Australian Privacy Principles.
10. Limitation of liability
To the extent permitted by law, our total liability for any claim is limited to the fees you paid for the service the claim relates to. We are not liable for indirect losses, such as lost profits, lost sales or business interruption.
Nothing in these terms excludes or limits your rights under the Australian Consumer Law.
11. Cancellation, changes and contact
- Cancellation: Either of us may end a project with written notice. You pay for work completed up to that date.
- Changes to these terms: We may update these terms from time to time. The version on our website when you accept a quote applies to that project.
- Governing law: These terms are governed by the laws of New South Wales, Australia.
- Contact: Questions about these terms can be sent to info@ucess.com.au.
